1. APPLICATION
The following terms and conditions of sale and delivery apply to all purchases from Mesoskinline Irland (hereinafter referred to as ”Mesoskinline”) to the customer (hereinafter referred to as the ”Buyer”).
2. PRICES
All stated prices are without applicable VAT. VAT will be charged according to Irish revenue regulations. VAT will not be charged to companies in the EU outside Ireland that provide a valid VAT number, or to buyers in countries outside the EU. The goods delivered remain Mesoskinline’s property until all claims against the Buyer have been settled. Mesoskinline reserves the right to change prices without warning.
3. PAYMENT
Payment is required upon ordering. Payment must be done using a credit card, PayPal, or bank transfer. Mesoskinline only sells to distributors, resellers, or buyers who use the products for professional/commercial purposes. Consequently, as this is a B2B (Business to Business) transaction, no consumer cancellation rights exist.
4. SUPPLY AND DELIVERY TIMES
Order delivery is via reputable couriers (e.g., TNT, GLS, or DHL) and estimated within 3-4 working days once the order has been received. Mesoskinline takes no responsibility for meeting the desired and expected delivery time.
The Buyer must notify Mesoskinline of any delays. Hereafter, the Buyer can only cancel the purchase if Mesoskinline has not delivered within 10 working days following a written demand from the Buyer. The Buyer is under no circumstances entitled to claim compensation following a delay. Shipment is at the Buyer’s risk.
5. FORCE MAJEURE
Mesoskinline is not responsible for delays in case of force majeure, including but not limited to labour disputes, fire, war, seizure, currency restrictions, riot, lack of means of transport, general shortage of goods, or defective deliveries from subcontractors. In such cases, delivery will be postponed until the end of the incident, for a maximum of 4 weeks, after which both parties may withdraw from the transaction.
6. WARRANTY AND DEFECTS
Any warranties are described for the products on the official website. For defective goods, the warranty period is 2 years from delivery. Upon receipt, the Buyer must perform standard checks (quantities and obvious defects). Complaints must be made in writing to info@fxmakeupacademy.ie immediately and no later than 8 days after receipt, including a clear description and photographic evidence.
The warranty is conditional upon the product being returned to Mesoskinline within 14 days of detecting the defect. At Mesoskinline’s discretion, defects will be remedied, replaced, or a refund will be issued.
7. LIMITATION OF LIABILITY
Mesoskinline's liability is limited to direct loss and shall – regardless of the reason – never exceed the amount billed for the specific product that caused the loss. Under no circumstances is Mesoskinline liable for consequential loss, loss of profit, lost savings, or indirect losses arising from the use of the products or inability to use them.
8. RETURN GOODS
The Buyer is not entitled to return goods without prior written agreement. Approved returns will normally be credited with a deduction of 15% of the sale price (excl. VAT) and must be sent free of charge to Mesoskinline’s designated warehouse.
9. PRODUCT LIABILITY
Mesoskinline is liable in accordance with applicable Irish Law on product liability. The Buyer must notify Mesoskinline immediately if a third party imposes product liability on the Buyer. Mesoskinline is not liable for operating loss, loss of profits, or other indirect loss.
10. DESCRIPTIONS
All specifications, dimensions, ingredients, and data in catalogues or adverts are approximate and guidelines only. They are only binding if expressly stated in the order confirmation.
11. INTELLECTUAL PROPERTY RIGHTS
The Buyer shall not infringe any rights of Mesoskinline or any third party. All patents, designs, copyrights, and trademarks remain the property of Mesoskinline. The Buyer undertakes to indemnify Mesoskinline against any loss arising out of the Buyer’s breach of these rights.
12. GOVERNING LAW AND VENUE
These Terms, including disputes regarding their existence or validity, are governed by Irish Law, irrespective of any conflict-of-laws rules. The exclusive place of jurisdiction for disputes in connection with these Terms shall be the Courts of Ireland.
